4.2 Service Delivery Process: Our service delivery process follows the Legal Triage methodology described on our Website, which involves assessment, solution generation, solution triage, strategy design, implementation, and continuous optimization.

4.3 Service Limitations: Our services are subject to:

a) Conflicts of interest checks; b) Professional and ethical obligations; c) Regulatory constraints in applicable jurisdictions; and d) The scope defined in our engagement with you.

5. SUBSCRIPTION PLANS AND PRICING

5.1 Subscription Plans: We offer subscription-based legal services through our Traction and Ascension Plans, as described on our Website. The specific terms, inclusions, exclusions, and limitations of each plan will be set forth in the service agreement.

5.2 Minimum Commitment: Our subscription plans require a minimum commitment of six to twelve months, as specified in the service agreement.

5.3 Fees and Payment: a) Fees for our services are as published on our Website or as agreed in writing. b) Subscription fees are billed in advance. c) Additional hours beyond the subscription allocation are billed at the rates specified in the service agreement. d) Out-of-pocket expenses, statutory filing fees, and external consultant or local counsel fees are billed separately at cost. e) All fees are exclusive of applicable taxes. f) We accept various payment methods, including USDT payments.

5.4 Fee Changes: We reserve the right to modify our fees from time to time. Any changes to subscription fees will apply only upon renewal of your subscription term, unless otherwise specifically provided in the service agreement.

5.5 Additional Services: Certain specialized services may require additional fees beyond the subscription fees. These will be communicated to you and agreed upon before such services are provided.

6. CLIENT OBLIGATIONS

10. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless Codex Triage, its partners, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs or debt, and expenses (including but not limited to attorney’s fees) arising from: a) Your use of and access to the Website and our services; b) Your violation of any term of these Terms; c) Your violation of any third-party right, including without limitation any copyright, property, or privacy right; or d) Any claim that your actions caused damage to a third party.

This defense and indemnification obligation will survive these Terms and your use of the Website or services.

11. TERMINATION

11.1 Termination by You: You may terminate your service agreement with us according to the termination provisions specified in that agreement. Subscription plans are subject to the minimum commitment period.

11.2 Termination by Us: We may terminate or suspend your access to our services immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach these Terms.

11.3 Effect of Termination: Upon termination: a) All rights granted to you under these Terms will cease; b) You must cease all use of our Website and services; c) You remain liable for any fees, expenses, or other obligations incurred prior to termination; d) We will handle client files and documents in accordance with applicable professional rules and our service agreement; and e) Provisions of these Terms that by their nature should survive termination shall survive termination, including, without limitation, ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

12. GOVERNING LAW AND DISPUTE RESOLUTION

12.1 Governing Law: These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law principles.

12.2 Dispute Resolution: Any dispute arising out of or in connection with these Terms, including any question regarding its existence, validity, or termination, shall be resolved as follows:

  1. Amicable Resolution: The parties shall first attempt to resolve any dispute amicably through good-faith negotiations.
  2. Mediation: If the dispute cannot be resolved through negotiation within 30 days, the parties will attempt to settle it by mediation administered by a mutually agreed mediation center or mediator.
  3. Arbitration: If the dispute has not been settled by negotiation or mediation within 60 days of the initiation of the dispute, or within such further period as the parties shall agree in writing, the dispute shall be referred to and finally resolved by arbitration under the Arbitration and Conciliation Act, 1996 (India).
  4. Venue: The seat of arbitration shall be Bangalore, India. The language of the arbitration shall be English.
  5. Number of Arbitrators: The arbitration tribunal shall consist of a sole arbitrator.
  6. Costs: The costs of arbitration shall be borne by the parties in such proportions as the arbitrator determines is appropriate.

12.3 Small Claims: Notwithstanding the foregoing, either party may bring an individual action in small claims court.

12.4 Injunctive Relief: Nothing in this section shall prevent either party from seeking injunctive relief in any court of competent jurisdiction.

13. MODIFICATIONS TO TERMS

13.1 Changes to Terms: We reserve the right to modify or replace these Terms at any time. The most current version will be posted on our Website with the “Last Updated” date.

13.2 Notice of Changes: For significant changes, we will make reasonable efforts to provide notice, such as through a prominent notice on our Website or by sending you an email.

14.4 Assignment: You may not assign or transfer these Terms, by operation of law or otherwise, without our prior written consent. Any attempt to assign or transfer these Terms without such consent will be null and void. We may freely assign or transfer these Terms without restriction.

14.5 Relationship: Nothing in these Terms shall be construed as creating a partnership, joint venture, agency, or employment relationship between you and Codex Triage.

14.6 Force Majeure: Neither party shall be liable for any failure or delay in performance under these Terms for causes beyond that party’s reasonable control, including but not limited to acts of God, acts of government, flood, fire, civil unrest, acts of terror, strikes or other labor problems, computer attacks or malicious acts, or denial of service attacks.

14.7 Notice: Any notice required or permitted by these Terms shall be deemed sufficient when delivered via email to the email address associated with your account or as provided by you in communications with us.

14.8 Headings: The section titles in these Terms are for convenience only and have no legal or contractual effect.
